Le Spac de Tikehau et Jean-Pierre Mustier lève 500 millions d'euros
Cinq cents millions d'euros. C'est le montant qu'a finalement réussi à lever Pegasus Europe, le Special Purpose Acquisition Company (Spac) monté par Tikehau Capital, Financière Agache (société d'investissement du groupe Arnault) et les banquiers Jean-Pierre Mustier (ex-directeur général d'Unicredit et ex-patron de la BFI de la Société Générale) et Diego De Giorgi (ex-Bank of America), deux mois après l'annonce de sa création. Son admission à la Bourse d'Amsterdam a été annoncée ce matin.
Un Spac est une coquille vide introduite en Bourse dans le but de réaliser une acquisition dans un laps de temps limité ; sa simplicité de structuration et son fonctionnement rassurant pour les investisseurs provoquent un véritable engouement pour ce type de véhicule d'investissement aux États-Unis.
Si l'on est encore bien loin des montants stratosphériques levés à Wall Street, Pegasus est le plus important Spac jamais collecté en Europe - devant 2MX Organic levé par Xavier Niel, Matthieu Pigasse et Moez-Alexandre Zouari pour 300 millions d'euros et 360 Disruptech EU lancé par le gestionnaire d'actifs 360 Capital pour 250 millions. Pour rappel, il est voué à investir dans le secteur financier.
Les quatre sponsors de Pegasus ont confirmé leur engagement financier. Ils investiront "plus de 165 millions d'euros, dont 55 millions d'euros lors de l'introduction en Bourse et 100 millions d'euros dans le cadre d'un engagement inconditionnel d’acquisition à terme (Forward Purchase Agreement), soulignant ainsi un fort alignement d'intérêts avec l’ensemble des actionnaires", explique Tikehau dans son communiqué, qui investira pour sa part 75 millions au total. L’engagement d’acquisition pourra être appelé au moment du rapprochement avec la société sélectionnée.
