Elliott envoie promener Vivendi… et piétine la bonne gouvernance.

Alors que Vivendi demandait qu’une assemblée des actionnaires soit convoquée rapidement, pour nommer notamment de nouveaux commissaires aux comptes, Telecom Italia (avec le concours d’Elliott) a repoussé cette échéance au 29 mars. Les comptes 2018 seront donc arrêtés sans l’avis des auditeurs.

L'opérateur Telecom Italia vient d’annoncer la convocation d'une assemblée générale des actionnaires le 29 mars prochain. Alors même qu’il y a quelques semaines Vivendi, actionnaire à 24 % du groupe avait demandé la convocation rapide d’une assemblée, destinée à nommer des commissaires aux comptes et à faire le point sur le conseil d’administration.

Le groupe français contrôlé par Vincent Bolloré souhaite notamment révoquer cinq des dix administrateurs nommés par Elliott, pour "avoir fait preuve d'un manque substantiel d'indépendance et de respect envers les règles de gouvernance les plus élémentaires et fondamentales, affectant négativement l'organisation et l'image de Telecom Italia". Vivendi propose de nommer à leur place cinq membres indépendants au conseil d'administration.

Pour Vivendi, la date choisie par Telecom Italia pour convoquer ses actionnaires est trop lointaine et met en péril les résultats de sa filiale. D’ici au 29 mars, Telecom Italia, qui fait partie des grands groupes européens, va donc devoir se passer d’un commissaire aux comptes. Notamment dans le cadre de l’arrêté du bilan et du compte de résultat pour 2018. Comme l’indique Vivendi : "Ces manœuvres constituent un véritable déni de démocratie actionnariale et vont à l'encontre de toutes les règles les plus élémentaires et fondamentales de bonne gouvernance d'entreprise".

Par ailleurs Vivendi se réserve le droit de demander la convocation d'une nouvelle assemblée générale cet été "si la gouvernance et les résultats financiers de l'entreprise ne s'améliorent pas de manière significative". Tout cela en dit long sur les manœuvres d’Elliott qui s’avise de donner des leçons de bonne gouvernance aux plus grandes entreprises européennes. Il serait temps que les instances européennes chargées de réguler les marchés financiers fassent en sorte que ces fonds opaques, généralement domiciliés dans des paradis fiscaux, et qui n’ont de compte à rendre à personne, cessent de s’attaquer un par un aux fleurons du capitalisme européen. De leur côté les Américains n’ont pas les mêmes pudeurs de jeune fille que nos dirigeants européens.
