Elliott pas pressé de nommer des commissaires aux comptes pour Telecom Italia
Combien de temps un groupe de taille mondiale, premier opérateur téléphonique italien, avec un chiffre d’affaires de 20 milliards d’euros peut continuer à exercer son activité sans le moindre contrôle d’un commissaire aux comptes ? Cette question n’intéresse pas Elliott, le fonds vautour qui avec un peu plus de 8 % du capital du groupe y fait la pluie et le beau temps et s’oppose à la demande formulée par Vivendi, actionnaire à hauteur de 24 %, de convoquer une assemblée générale afin de régulariser cette situation.
Dans une dizaine de jours le mandat des commissaires aux comptes actuels prendra fin. Et aucune disposition n’a été prise afin que Telecom Italia respecte les règles d’une société cotée et puisse assurer à ses actionnaires que ses comptes sont en bon ordre. Il faut dire qu’Elliott est un peu gêné aux entournures. Afin de faire révoquer Amos Genish, le talentueux patron du groupe il y a quelques semaines, il a obtenu l’inscription d’une provision fourre-tout de 2 milliards d’euros qui a entraîné le passage des comptes dans le rouge. Et cette provision est largement sujette à caution.
Vivendi, en tant que principal actionnaire, se bat aux côtés des petits actionnaires pour que la gouvernance de Telecom Italia redevienne celle d’un groupe normal. D’où la demande exprimée il y a quelques jours de la convocation d’une assemblée générale pour nommer des nouveaux commissaires aux comptes et pour révoquer 5 administrateurs qui "ont fait preuve d'un manque substantiel d'indépendance et de respect envers les règles de gouvernance les plus élémentaires et fondamentales, affectant négativement l'organisation et l'image de Telecom Italia". À commencer par Fulvio Conti, le président du conseil. Pour les remplacer Vivendi a suggéré cinq personnalités incontestables : Flavia Mazzarella, Franco Bernabè, Gabriele Galateri di Genola, Rob van der Valk et Francesco Vatalaro.
Les dirigeants de Telecom Italia vont se réunir ce vendredi pour examiner la demande de Vivendi. Mais ils attendront d’avoir digéré le foie gras et les chocolats de Noël, voire même la galette des rois pour donner leur réponse qui n’est attendue que le 14 janvier. Il s’agit de manœuvres dilatoires afin de gagner du temps et de faire en sorte que l’assemblée des actionnaires demandée par Vivendi n’ait pas lieu et soit remplacée par l’assemblée générale annuelle du printemps.
Tout cela en dit long sur les manœuvres d’Elliott qui explique sur son site Internet et dans ses courriers que sa seule préoccupation est la bonne gouvernance des sociétés dans lesquelles ils investissent. En fait de bonne gouvernance, ils bafouent les droits élémentaires des actionnaires et ils se moquent de ne pas avoir de commissaire aux comptes pour certifier le bilan de l’année 2018. Ils pourraient prendre comme devise : "Faites ce que je dis ; ne faites pas ce que je fais !"
