La Caisse des Dépôts italienne pourrait acheter 10 % du capital de Telecom Italia
La Cassa Depositi e Prestiti (CDP), qui est à l’Italie ce que la Caisse des Dépôts est à la France, a donc franchi hier le seuil des 5 % au capital de Telecom Italia en relevant de 4,93 à 5,03 % sa participation au capital de l’opérateur italien. Elle y a été expressément autorisée par son conseil d’administration qui lui a donné un blanc-seing pour augmenter sa participation, s’il le fallait, à 10 % dans un délai maximal de 12 mois.
Selon nos informations, les dirigeants de la CDP ont bien l’intention d’atteindre ce seuil de 10 % avant l’assemblée des actionnaires prévue le 29 mars prochain, qui sera décisive pour l’avenir de Telecom Italia. Ce qui va faire évoluer profondément la géographie du capital de Telecom Italia. De l’autre côté des Alpes il se dit même que la CDP pourrait se voir autorisée à franchir ensuite les 10 % du capital afin d’atteindre la barre des 15 %.
Cette accélération se justifie de deux façons. D’une part, l’équipe qui gère cette participation au sein de la CDP a complètement changé depuis un an. Or la précédente avait, étonnamment voté en faveur d’Elliott. Ces 15 % pourraient donc être très hostiles à Elliott lors de l’assemblée du 29 mars. Ce qui bouleverserait les cartes. La seconde raison est liée à l’avenir d’Open Fiber, le réseau à haut débit détenu à parité par Enel et la Cdp. Hier le ministre de l’Économie, Luigi Di Maio a confirmé que le gouvernement souhaitait la création d'un réseau de télécommunications unique. À la condition qu’une mutualisation avec le réseau de Telecom Italia résulte d’une opération de marché.
Tout cela signifie que le gouvernement n’a pas du tout envie de laisser l’avenir du groupe aux mains d’un fonds vautour. Naturellement Vivendi est en contacts étroits avec la CDP, dans la perspective de l’assemblée générale du 29 mars prochain.
