BNP Paribas veut s'affirmer dans les métiers actions

Après le prime brokerage et le courtage de Deutsche Bank en 2019, la banque française veut intégrer totalement Exane en acquérant le solde du capital qu'il ne détient pas encore.

Dans un contexte difficilement lisible pour les institutions financières, entre faiblesse persistante des taux d'intérêt, contraintes réglementaires, volatilité des marchés, nouveaux usages bancaires et concurrence croissante, les établissements cherchent leurs points forts. Pour BNP Paribas, ce sont les métiers de banque de financement et d'investissement, regroupés dans BNP Paribas CIB. Pour cette raison, l'institution financière française veut se renforcer dans les métiers actions.

Elle a annoncé hier sa volonté d'acquérir le solde du capital d'Exane, en portant sa participation de 50% actuellement à 100 %. Exane est une société de finance de marché présente dans trois métiers : l'intermédiation actions européennes à travers la marque Exane BNP Paribas (qui propose aux investisseurs institutionnels des services d'analyse et de recherche financières, de distribution et d'exécution des ordres, notamment via le trading électronique), les dérivés actions (convertibles, options, swaps, futures, etc.) et la gestion d'actifs (à travers Exane Asset Management, Ellipsis AM et Ixios AM). Si BNP Paribas dispose de longue date de sa propre maison de gestion (BNP Paribas AM), l'intermédiation actions n'était par exemple pas développée au sein de BNP Paribas CIB, au nom d'un premier accord avec Exane signé en 2004.

Pour constituer un acteur majeur sur les actions, la banque a déjà acquis les activités "Global prime finance and electronic equities" (service aux hedge funds et plate-forme de courtage électronique) de Deutsche Bank, en 2019. L'intégration complète d'Exane "permettra de renforcer et d’élargir encore la gamme de services actions et dérivés actions que BNP Paribas peut proposer aux investisseurs institutionnels et aux entreprises au niveau mondial. Cette opération, combinée à la migration chez BNP Paribas des activités […] de Deutsche Bank, positionnera la banque parmi les acteurs majeurs du marché mondial des actions", explique la banque dans son communiqué. Selon Yann Gérardin, responsable du pôle Corporate and institutional banking de BNP Paribas, il existe de fortes synergies de revenus entre les activités de vente d'actions et le prime brokerage auprès d'une clientèle de fonds alternatifs que nous pouvons mieux servir, comme l'a expliqué à Reuters.

BNP Paribas veut obtenir l'accord des autorités et des partenaires sociaux au cours du prochain trimestre et de boucler l'opération et l'intégration en 2022.
