Eurazeo valorise Trader Interactive à plus de 1,6 milliard de dollars

La société d'investissement cotée, qui prévoit de nombreuses sorties dans les deux ans à venir, a vendu la moitié du capital de l'entreprise américaine à Carsales, qui dispose d'une option sur le solde, pour 26,5 fois l'Ebitda de la cible.

A l'occasion de la publication de ses comptes 2020 en mars dernier, Eurazeo indiquait que les années 2021 et 2022 seraient caractérisées par de nombreuses cessions, étant donné la maturité de ses portefeuilles. La société d'investissement cotée l'a illustré mercredi en annonçant la vente d'un actif majeur : l'américain Trader Interactive.

Elle va céder dans un premier temps une participation de 49% dans l'entreprise de marketing et de publicité en ligne destinés aux concessionnaires de véhicules et d'équipements industriels à Carsales, la plus grande plate-forme australienne de vente en ligne de véhicules, présente dans plusieurs pays. L'acquéreur bénéficiera d'une option d'achat sur les 51% du capital de Trader Interactive encore détenus par Eurazeo. L'opération a été négociée sur la base d'une valorisation - dette comprise - de 1,63 milliard de dollars, soit 1,34 milliard d'euros. Soit 26,5 fois son Ebitda ajusté de 2020. Ce qui permet à Eurazeo et certains souscripteurs du fonds Eurazeo Capital IV (agissant en qualité de co-investisseurs) de multiplier par 2,8 fois leur investissement.

La vente des 49% permet à ceux-ci de réaliser un produit avant impôt de 280 millions de dollars, dont 190 millions pour la cote-part d'Eurazeo - soit 156,6 millions d'euros. Ce qui représente 1,5 fois l'investissement de la société de gestion et des co-investisseurs (en incluant le fruit d'un dividende recap pour un multiple de 0,2).

Trader Interactive était le premier placement aux Etats-Unis réalisé en juin 2017 par l'équipe mid-large buyout d'Eurazeo, dirigée par Marc Frappier, qui a par ailleurs intégré il y a deux semaines le directoire de la société de gestion. Avec ce cycle réussi, une étape symbolique vient d'être franchie, qui crédibilise la présence américaine d'Eurazeo.

La société d'investissement ne délaisse pas pour autant les prises de participation. La veille, elle avait annoncé sa montée au capital de I-Tracing (services en cybersécurité) via son équipe small-mid buyout, sur la base d'une valeur d'entreprise de 165 millions d'euros. Au prix d'une injection de 65 millions d'euros, Eurazeo en deviendra prochainement l'actionnaire de référence. La firme, les fondateurs et les dirigeants de I-Tracing devraient contrôler ensemble 49% du capital, tandis que Sagard NewGen réinvestira. Le sortant est le fonds Keensight Capital.
