Michael Dell, l’homme qui sait changer d’avis
Michael Dell est de la trempe des grands patrons, ceux qui savent reconsidérer leurs choix et faire évoluer leurs positions pour le bien de leur entreprise. Interrogé sur CNBC sur sa décision de faire revenir Dell en Bourse, son patron fondateur cachait à peine son manque d’enthousiasme, lui qui avait organisé personnellement le LBO sur son groupe en 2013 aux côtés de Silver Lake. Une des plus grosses sorties de cote de l’après-crise, à 24,4 milliards de dollars.
Et pendant toute cette période, le dirigeant a toujours affirmé sa préférence pour un modèle privé, qui permet selon lui d’investir pour moderniser son entreprise face à la concurrence féroce des acteurs tech, sans avoir à se soucier quotidiennement de ses publications trimestrielles ou du niveau de distribution à ses actionnaires.
Mais deux ans plus tard, Michael Dell a lancé un nouveau pari à hauts risques : le rachat d’EMC pour 67 milliards de dollars, le plus important deal tech de l’histoire à l’époque. Il misait surtout sur sa conviction de faire de Dell un acteur intégré, un « one stop shop » pour ses clients business en alliant le stockage de données et les logiciels d’EMC à ses propres serveurs, PC et autres produits hardware. Il a surtout joué le tout pour le tout en cherchant plus de 40 milliards de dollars de financements, au moment où les marchés étaient particulièrement averses au risque, avec le ralentissement de la Chine et de la croissance mondiale.
Mais cela s’est fait au prix d’une complexification de la structure du groupe, car Dell a été obligé de créer une classe d’actions pour sa part de 82% chez sa filiale cotée VMWare, ce qui lui a permis de boucler son financement. Ce lundi, il a donc décidé de racheter ces titres pour une valeur de 21,7 milliards de dollars (dont 9 milliards apportés par sa filiale), et ainsi de rentrer en Bourse, tout en simplifiant son capital. Pas si simple néanmoins, car il faudra sans doute compter sur l’activiste Carl Icahn, qui s’était battu contre le LBO de Dell et juge que les actions de Dell dans VMWare sont sous-évaluées, car bien inférieures à celles du groupe lui-même.
Quoi qu’il en soit, Dell est à la croisée des chemins. Le groupe a certes réussi sa restructuration : selon IDC, les revenus mondiaux de serveurs de Dell ont progressé de plus de 50% au premier trimestre, et il a surpassé son concurrent Hewlett-Packard, tout en restant le plus important vendeur de PC en volume, selon Gartner. Mais il croule aussi sous une dette de 52 milliards de dollars, qui risque de devenir asphyxiante, la nouvelle réforme fiscale ayant largement limité la possibilité de déduction des frais financiers. Dans sa conquête de nouveaux marchés toujours plus lucratifs et prometteurs, Dell est allé à l’inverse de ses concurrents comme Hewlett-Packard, qui se sont scindés pour réduire la voilure et améliorer leur rendement. Pour poursuivre cet objectif, Michael Dell est aujourd’hui obligé de passer à nouveau par la case Bourse, qu’il avait espéré ne jamais plus utiliser.
