Vivendi et Elliott sur le point de trouver un accord
La pugnacité de Vincent Bolloré sur le dossier Telecom Italia aura fini par payer. Alors que Glass Lewis et ISS, les deux grandes agences de conseils en corporate governance n’avaient rien trouvé à redire aux bizarreries effectuées depuis un an par Elliott chez Telecom Italia, en dépit d’une part inférieure d’un tiers à celle de Vivendi, les pouvoirs publics italiens ont vivement incité le fonds vautour à retourner s’asseoir autour d’une table afin de trouver un accord avec le groupe détenu par Vincent Bolloré.
Selon nos informations, un comité stratégique de Telecom Italia se réunit donc aujourd’hui afin de préparer le conseil d’administration de jeudi prochain qui entérinera la paix armée entre les deux groupes. C’est la CDP (équivalent de la Caisse des Dépôts), actionnaire à hauteur de 10 % de Telecom Italia qui devrait récupérer la présidence du groupe. Les quatorze autres sièges d’administrateurs seront attribués pour moitié à Elliott et pour moitié à Vivendi à charge pour eux de désigner un maximum de personnalités considérées comme indépendantes.
Sur le plan du business, il est acté que le réseau de Telecom Italia, le plus important d’Italie, sera mutualisé à terme avec celui d’Open Fiber détenu à parité par l’électricien Enel et la CDP. Un pré-accord a déjà été conclu en ce sens vendredi dernier. Il reste à évaluer les deux actifs. Mais quoi qu’il en soit, l’opération devrait se faire sous l’égide de Telecom Italia qui conservera ainsi le contrôle du réseau, contrairement à ce que souhaitait Elliott. Il est probable que le rachat d’Open Fiber se fera par échange de titres Telecom Italia. Ce qui devrait faire grimper la participation de la CDP (actuellement de 10 %) à un niveau bien plus élevé, mais inférieur aux 23 % de Vivendi.
Les rumeurs sur la formalisation de cet accord ont fait grimper l’action Telecom Italia de 10 % la semaine dernière. Mais le titre affiche toujours un recul de 25 % sur un an qui témoigne de la défiance des investisseurs à l’égard des écarts de gouvernance réalisés par Elliott.
