Selon des informations discrètement communiquées au marché, comme l’impose la loi, le fonds vautour Elliott Management vient de reconnaître qu’il avait cédé l’essentiel de sa participation dans le géant Telecom Italia. Participation qui avait atteint à un moment 9 % du capital, et qui lui avait donné les clés du conseil d’administration, au point de révoquer le directeur général et d’entraîner une chute du cours Bourse.
Selon le régulateur italien des marchés boursiers, la Consob, Elliott a déclaré jeudi 28 avril, donc juste après l’assemblée générale de Telecom Italia, avoir réduit sa participation dans TIM à 0,265%, contre 6,976% auparavant. Le fonds activiste de Paul Singer avait investi pour la première fois dans l’opérateur italien en 2018 et ensuite, n’a cessé de défier, le principal actionnaire, le groupe de médias français Vivendi, au point d’obtenir à un moment les deux tiers des sièges du conseil d'administration.
Elliott a participé à l'assemblée générale annuelle de TIM la semaine dernière en tant que troisième investisseur du groupe derrière Vivendi et la CDP. Le tout s’est passé dans un climat plus apaisé depuis que Vivendi, Elliott et la CDP – la Caisse des Dépôts italienne qui détient 10 % du capital – se sont entendus l’an dernier sur une répartition équitable des sièges au conseil de Telecom Italia.
Pour la forme Elliott a tout de même annoncé avoir construit, sans rien décaisser et à base de produits dérivés, une position longue sur 4,862% de TIM grâce à un contrat de swap avec JPMorgan qui expire le 30 mai 2023, pour une participation potentielle globale de 5,127%. Mais les droits de vote d’Elliott restent actuellement limités à sa participation réelle de 0,265%.
Cette décision intervient après qu'Elliott ait réduit sa participation dans TIM le mois dernier en baisse de 9,72%, une décision qu'une personne familière avec la question a attribuée aux besoins de rééquilibrage du portefeuille. Selon les informations de WanSquare, les activités européennes d’Elliott Management que dirige Gordon Singer, le fils de Paul Singer, auraient subi de fortes pertes au cours de la crise boursière liée au coronavirus.
D’autant que le vrai patron des investissements européens du fonds, le français Franck Tuil, a annoncé il y a quelques jours avoir quitté Elliott après près de deux décennies passées au sein de cette maison. Ce départ s’est fait dans des conditions particulières puisque le personnel d’Elliott n’a été informé de départ que par une note de service interne.
Le fonds Elliott Management qui, avait voulu secouer le groupe Pernod-Ricard, avait aussi acquis, entre autres participations, 0,6 % du capital et 5 millions de produits dérivés. Mais selon différentes informations, ces titres auraient été vendus (sans moins-value) au cours des derniers mois.
