Telecom Italia : Vivendi choisit l’accalmie

EXCLUSIF. Selon nos informations et à quelques heures du terme de l’Assemblée générale décisive de Telecom Italia, le groupe pourrait retrouver une gouvernance apaisée, grâce à la position mature de Vivendi et aux projets long termistes de la Caisse des Dépôts italienne.

Les actionnaires de Telecom Italia se réunissent actuellement dans la banlieue de Milan à Rozzano pour une Assemblée générale sous haute tension après les graves irrégularités détectées au sein de la gouvernance de l’opérateur ces derniers mois. Par la voix de sa directrice juridique Caroline Le Masne de Chermont, Vivendi a choisi l’apaisement ce matin, en retirant sa demande de révocation de cinq administrateurs proches du fonds américain Elliott et pour le bien de Telecom Italia fragilisé par les vives tensions entre ses actionnaires.

Elliott qui s’attaque également à Pernod Ricard, peut compter aujourd’hui sur la société influente de conseil en gouvernance ISS qui se range curieusement à chaque fois de son côté. Mais aussi sur la Caisse des dépôts italienne (CDP) elle-même, qui aurait selon nos informations refusé la résolution proposée par Vivendi, séduite par la volonté d’Elliott de séparer le réseau de l’opérateur pour le faire fusionner avec Open Fiber dont elle détient 50 %.

La scission de la partie réseau et la mise en exécution onéreuse du réseau 5G seront les principaux défis à venir pour l’opérateur. Au travers de sa participation - qui est montée de 4,93% à 9,8 % en quelques semaines - et une influence croissante à venir au board, la CDP entend mener ces projets dans un environnement pacifié. Selon nos informations, la présidence du conseil d’administration sera aussi bientôt proposée par la CDP et le nombre d’administrateurs pourrait être partagé entre Vivendi et Eliott, à raison de 7 sièges chacun.

Nul doute que la position mature et conciliante de Vivendi ne déplaise à Elliott qui pourrait se retrouver bien vite isolé. D’autant plus que le projet long termiste de la CDP contraste avec les caprices de court terme du fonds activiste, qui devra probablement partager son influence au board pour une gouvernance plus équilibrée. Le marché a répondu positivement aux déclarations faites par Vivendi ce matin, le titre tournant autour d’une hausse de 3% dans la journée.
