Elliott fait monter la pression sur Capgemini
Comme à son habitude la société Elliott Capital Advisors LP qui gère les fonds Elliott International LP, Elliott Associates LP et The Liverpool Limited Partnership, a décidé d’accentuer sa pression sur sa toute dernière proie, la société de conseil Altran Technologies dont les administrateurs viennent d’accepter une offre publique d’achat amicale de la part du groupe Capgemini.
Depuis ce matin l’ensemble des fonds gérés par Elliott détiennent 7,8 millions d’equity swaps, produits dérivés construits par des établissements bancaires qui détiennent en collatéral les actions livrables au fonds vautour au plus tard le 31 décembre prochain. Cela après une nouvelle acquisition de 1.260.000 equity swaps au prix de 14,38 euros réalisée jeudi dernier. Contrairement à ce que nous avions écrit il y a quelques jours, HSBC Holdings qui a acquis récemment plus de 5 millions d’actions Altran, ne les porte pas pour le compte d’Elliott. D’ailleurs, la banque s’efforce de ne pas travailler avec les fonds vautours.
Il reste qu’avec cette nouvelle opération Elliott détient maintenant - potentiellement - plus de 3 % du capital d’Altran Technologies. Ce qui en fait le quatrième actionnaire derrière Schroder Investment Management Ltd. qui possède 4,78 % du capital. Et il faut s’attendre à ce que le fonds dirigé par Paul Singer monte encore en puissance dans les jours qui viennent en achetant des titres au-dessus du prix des 14 euros retenu pour l’OPA.
Dans ces conditions, on voit mal comment Capgemini pourrait ne pas revoir son prix d’offre avant l’ouverture officielle de celle-ci, sous peine de ne pas voir les gros actionnaires lui céder leurs titres à 14 euros, alors que l’action s’échange actuellement à un prix supérieur de 4,75 % à ce que le groupe de Paul Hermelin a annoncé être prêt à payer. De son côté, Elliott, en n’investissant qu’un montant ridicule de 110 millions d’euros - par rapport au montant des liquidités que détiennent ses fonds - joue le jeu de l’enquiquineur maximum. In fine, s’il obtient gain de cause auprès de Capgemini, il enregistrera un gain de 10 ou 15 millions d’euros. Alors que du côté de Capgemini, c’est toute la création de valeur de cette OPA qui se verra, de facto, revue à la baisse.
