Ardian mise gros sur la 5 G en Italie

Ardian Infrastructure et Canson Capital Partners sont entrés en négociations exclusives avec Telecom Italia pour entrer au capital d’Inwit qui gère les tours communes à l’opérateur italien et à Vodafone. Avec en ligne de mire la 5 G.

Un consortium dirigé par le fonds de capital-investissement Ardian Infrastructure, conseillé par Nomura, et auquel le fonds de private equity Canson Capital Partners participe est entré il y a quelques jours en négociations exclusives afin d'acquérir une participation minoritaire dans la holding contrôlée par Telecom Italia qui détient sa participation dans la société cotée Inwit (Italian Wireless Infrastructure).

Inwit est la société propriétaire des tours de téléphonie mobile de Telecom Italia, qui a fusionné fin mars 2020 avec Vodafone Towers, société propriétaire des tours de téléphonie mobile de Vodafone. L'intégration des infrastructures de réseaux passifs d'Inwit et de Vodafone Italia a donné naissance à la deuxième plus grande société propriétaire de tours en Europe, avec un portefeuille de plus de 22 000 relais de téléphonie mobile.

Déjà le 23 avril, Tim avait annoncé le placement de 4,3% d'Inwit, faisant reculer sa part à 33,2% du capital et percevant ainsi 400 millions d'euros. La même participation a été vendue par Vodafone, afin de permettre une augmentation du flottant d’Inwit de plus d'un tiers. Conformément à la pratique du marché, Vodafone et Tim ont conclu un engagement de blocage sur les actions détenues par les deux groupes au capital d’Inwit pour une période de 90 jours.

Mais dès le départ le but de Tim et de Vodafone était de ne plus détenir que 50,1% d’Inwit, soit environ 25% chacun du capital, et c'est à cet effet qu'ils cherchaient un investisseur tiers. De surcroit Tim avait expliqué lors d'un call tenu pendant le confinement qu'il devait vendre 12,4% du capital d’Inwit afin d’encaisser environ un milliard d'euros de liquidités.

Selon les informations obtenues par WanSquare les premiers contacts entre Ardian et Tim sont intervenus fin janvier. Plusieurs investisseurs étaient sur les rangs dont Credit Agricole Assurances, Canson Capital Partners, F2i, KKR et Advent. Finalement c’est le duo Ardian-Canson qui l’a emporté avec pour but de profiter de l’implantation de la 5 G en Italie qui va renchérir mécaniquement la valeur de ces tours. Mais Tim serait toujours en négociation avec le fonds américain KKR afin de lui céder 40% du réseau secondaire, ainsi que des actifs immobiliers.
