L’intéressante rumeur italienne
Selon des informations qui circulent à Rome et Milan depuis deux jours, l’assemblée générale des actionnaires de Telecom Italia qui doit se tenir vendredi 29 mars sous haute tension, pourrait finalement ne pas tourner au règlement de comptes attendu. Rien n’est encore certain. Mais, tout semble avoir bougé au sein des pouvoirs publics italiens depuis la publication, par Vivendi, du rapport des auditeurs internes de Telecom Italia montrant les graves dysfonctionnements au sein du conseil de Telecom Italia, avec notamment l’existence d’un "shadow board" constitué de représentants du fonds vautour Elliott et d’un membre de la CDP, la Caisse des Dépôts italienne.
Depuis un mois cette dernière semble avoir décidé de jouer les arbitres. C’est ce qui l’a poussé à doubler sa participation au sein du capital de Telecom Italia en tutoyant les 10 %. Mais surtout elle a multiplié les contacts avec Vivendi d’une part et Elliott d’autre part de manière à éviter que cette affaire Telecom Italia ne rejaillisse sur l’image générale du capitalisme italien.
Le fruit de ces discussions serait – et le conditionnel est très important – que la CDP s’octroie la présidence de Telecom Italia et que parmi les 14 postes d’administrateurs restants sept soient attribués à des personnalités choisies par Elliott et sept à des personnalités choisies par Vivendi. Ce qui permettrait au premier actionnaire d’avoir enfin largement voix au chapitre au sein du conseil. À la condition, bien sûr, que disparaissent les conseils fantômes et autres méthodes douteuses dont Elliott s’est fait une spécialité.
Si cette rumeur se confirme, il est possible que ce schéma soit officialisé dans les 48 heures, ne serait-ce que pour des questions d’organisation de l’assemblée générale et de son ordre du jour. Comme le dit l’Ecclésiaste que l’on connaît bien à l’ombre de Saint-Pierre de Rome : "Il y a un temps pour tout. Un temps pour la guerre. Et un temps pour la paix."
