Elliott a une nouvelle cible en Europe : Bayer

Selon Reuters, le fonds activiste a pris position chez le groupe chimique et pharma allemand, qui est en difficultés après sa fusion géante avec Monsanto. Ce dernier pourrait pousser sa cible à se scinder en deux.

Elliott ne connaît pas la trêve des confiseurs. Le fonds activiste américain emmené par Paul Singer, qui avait lancé un record de 17 campagnes au premier semestre 2018 selon Lazard, ne compte pas s’arrêter là. Après avoir sévi chez le Britannique Sky et Telecom Italia en Europe - au détriment de Vivendi - il aurait jeté son dévolu sur l’Allemand Bayer. Selon une dépêche de Reuters, ce dernier aurait pris position au capital du groupe chimique et pharmaceutique allemand depuis plus d’un an déjà et détiendrait moins de 3 %, seuil au-delà duquel il serait tenu de se dévoiler aux autorités allemandes. L’investisseur aurait tenté d’organiser une rencontre avec le CEO du groupe, Werner Baumann, et ses équipes mais sans succès pour le moment. Elliott souhaiterait introduire un projet de séparation de la société entre ses activités pharmaceutiques et agro-chimiques.

L’activiste a choisi une cible en grandes difficultés, depuis que sa fusion géante à 63 milliards de dollars a été complétée en juin dernier. Les problématiques opérationnelles se multiplient, et surtout les risques juridiques. En août dernier, Monsanto a été condamné à une amende de 289 millions de dollars par la justice américaine - depuis réduite à 78 millions de dollars - et a jugé que son produit phare RoundUp, qui contient du glyphosate cancérigène, était responsable du cancer incurable contracté par un paysan américain. À ce jour, il existe encore 9.300 plaintes de ce type, ce qui fait courir un risque financier énorme pour le nouveau propriétaire.

En parallèle, Bayer affronte aussi des vents contraires sur son activité pharmaceutique. Le groupe va perdre les brevets sur deux de ses médicaments blockbusters, et n’a pas beaucoup de relais de croissance, d’autant plus que ses moyens sont désormais limités après cette acquisition. Il a déjà dû procéder à un plan de restructurations douloureux : fin novembre, il a annoncé la suppression de 12.000 postes d’ici 2021, soit près de 10 % de ses effectifs. Le CEO a dévoilé un plan de cessions, notamment celle de la santé animale qui pourrait valoir entre 6 et 7 milliards d’euros, mais aussi deux marques grand public, Dr Scholl’s et Coppertone, qui pourraient quant à elles lui rapporter 1 milliard d’euros.

Elliott va-t-il monter au créneau pour réclamer l’accélération de ces cessions d’actifs ou encore la scission pure et simple du groupe en deux entités ? L’activiste est coutumier du fait et dans le cas de l’Allemand Thyssenkrup, aux côtés du fonds suédois Cevian il avait obtenu la nomination d’un nouveau CEO, qui a par la suite annoncé sa scission en deux parties. Concernant Bayer, il devrait bénéficier de l’appui d’actionnaires insatisfaits, puisque le titre Bayer a reculé de 40 % depuis le début de l’année, dans le sillage des déconvenues liées à Monsanto.
