Les activistes ont remporté 39 postes d'administrateurs au premier trimestre
La banque Lazard, qui dispose d’un service entier dédié aux entreprises désireuses de se défendre contre des fonds activistes, mène chaque trimestre une revue très précise des opérations agressives engagées par ces fonds. Il en ressort que le rythme de l'activisme au premier trimestre de 2019 était conforme aux niveaux historiques, mais en baisse par rapport à un record de 2018.
Au premier trimestre de 2019, 57 nouvelles campagnes ont été lancées contre 53 entreprises, soit une baisse par rapport à 2018, mais conforme aux niveaux moyens pluriannuels. Quant aux capitaux déployés au premier trimestre de 2019 (11,3 milliards de dollars) ils correspondaient aux trimestres récents, et les 10 principaux activistes ont cumulé un montant de 75,5 milliards de dollars déployés dans des opérations agressives à la fin du trimestre.
Les campagnes axées sur les transactions étaient de loin les plus courantes au premier trimestre de 2019, un objectif lié aux fusions et acquisitions apparaissant dans près de 50% des nouvelles campagnes. Pousser à vendre la société ou à s'engager dans des opérations de scission ou de cession étaient les objectifs les plus fréquents en matière d’activisme. Les tentatives visant à saboter les accords existants étaient relativement moins fréquentes que lors des trimestres précédents.
Même si toutes les assemblées d’actionnaires n’ont pas encore eu lieu, les activistes ont d’ores et déjà remporté 39 sièges au premier trimestre 2019, alors qu’au premier trimestre 2018, ils avaient battu le nombre record de 65 sièges.
A noter que le premier trimestre de 2019 a été marqué par la poursuite d'une activité soutenue en dehors des États-Unis. Les campagnes activistes non américaines ont représenté environ 33% de l'activité mondiale selon les chiffres récoltés par Lazard. C’est le fonds Elliott de Paul Singer qui arrive en tête, en fonction des fonds mobilisés avec 15,2 milliards de dollars au total dont 1,7 milliard depuis le début de l’année, notamment sur eBay.
