Bain Capital en piste pour racheter Kantar
L'avenir de Kantar se précise. Annoncée il y a quelques mois, sa cession prend forme. Le britannique WPP, sa maison mère et premier groupe publicitaire mondial, est entré en négociations avec le fonds américain de capital-investissement Bain Capital. D'autres candidats au rachat étaient sur les rangs : Apollo Global Management, Platinum Equity et Vista Equity Partners, mais c'est donc Bain Capital qui devrait avoir le droit d'acheter une participation majoritaire dans Kantar. "La proposition de Bain Capital est sujette à négociation", a déclaré prudemment WPP, ajoutant qu'"il n'y a aucune certitude sur le fait que ces discussions aboutiront à une transaction impliquant Kantar". Le caractère exclusif de ces négociations laisse toutefois à penser qu'elles sont en bonne voie.
Secoué par la concurrence de la publicité en ligne de Google et Facebook, ayant perdu plusieurs grands clients récemment comme Ford, Amex et Daimler, et devant faire face à une dette importante, WPP est acculé et doit céder des actifs pour éviter l'inconfortable situation de 2017 et 2018 où le groupe avait dû lancer plusieurs avertissements sur ses résultats.
D'où cette réorganisation menée par le nouveau patron de WPP, Mark Read, aux commandes depuis septembre suite au départ du fondateur Martin Sorrell. Son plan prévoit de recentrer le groupe sur un réseau d'une centaine d'agences publicitaires plus agiles et de se séparer des actifs qui n'entrent pas dans ce cadre. En parallèle de Kantar, WPP a d'ailleurs annoncé hier la vente de sa participation minoritaire de 25 % dans le groupe de communication et de marketing sportif Chime Group Holdings à son actionnaire de contrôle Providence, pour 69 millions de dollars.
La vente de Kantar marquerait la plus grande décision prise à ce jour à Mark Read. Kantar, qui fournit et analyse des données, contribue à hauteur de 15 % au chiffre d'affaires du groupe. C'est le numéro deux mondial des instituts d'études, derrière l'américain Nielsen, et a réalisé deux milliards et demi de livres de chiffre d'affaires en 2018, en baisse de 2 %. Avec la vente de cet actif, valorisé près de 4 milliards de dollars (3,55 milliards d'euros), WPP aurait de quoi éponger une partie de sa dette qui a atteint jusqu'à 4,5 milliards de livres (5 milliards d'euros). Le groupe de publicité ne souhaite toutefois pas tout vendre. Mark Read a indiqué qu'il aimerait conserver une participation de 25 à 40 % dans Kantar.
Bain est entouré sur ce dossier de Crédit Suisse et Canson Capital Partners. WPP quant à lui s'appuie sur Goldman Sachs et Ardea Partners.
